Carolyn is an Associate in the firm's commercial corporate team. She advises clients on a wide range of commercial law matters including joint ventures, shareholding arrangements, company law, business structures and acquisitions, securities and insolvency law, construction contracts, intellectual property protection and commercialisation, and information and communication technology contracts. Carolyn is also regularly involved in negotiating and preparing a wide variety of domestic and international commercial agreements, tailored to client needs.

Acting for clients in the structuring of investment in new business interests and negotiating and preparing all necessary commercial documentation in respect of the same, including in respect of client investment in such activities as large scale resort developments in New Zealand and overseas, expansion of long-standing national businesses, and the formation of joint ventures for new businesses.
Preparing and advising on procurement and construction contracts for a large government department for projects throughout New Zealand.
Advising on the due diligence and acquisition of the European arm of an American-based IT business.
Conducting a due diligence investigation on behalf of the prospective purchaser of a national retail chain.
Advising on – and preparing commercial contracts for – a national retail and wholesale network.
